Overview
The Commercial Manager plays a pivotal role in driving revenue certainty and securing bankability for our company’s renewable energy portfolio. The primary focus of this role is on originating and negotiating long-term Power Purchase Agreements (PPAs) with Distribution Utilities (DUs), Retail Electricity Suppliers (RES), and large corporate customers. Additionally, the role involves participating strategically in the Department of Energy (DOE) Green Energy Auction Program (GEAP) when commercially advantageous. The position is instrumental in optimizing contracted revenue, mitigating market exposure via the Wholesale Electricity Spot Market (WESM), and supporting the financial close of projects.

Key Responsibilities
1. Bilateral Offtake Origination & Execution
Primary Focus
- Lead the origination and negotiation of bilateral PPAs with:
- Distribution Utilities (DUs)
- Retail Electricity Suppliers (RES)
- Large corporate customers
- Develop a long-term contracting strategy to minimize merchant exposure and improve revenue certainty.
- Structure innovative PPAs (including physical, sleeved, and hybrid agreements) tailored to client needs.
- Analyze WESM pricing trends and utilize insights to develop competitive PPA pricing strategies.
- Design pricing mechanisms, such as fixed pricing, indexed pricing, floor/cap mechanisms, and blended rates.
- Identify, assess, and address commercial risks, such as:
- Curtailment risks
- Change-in-law risks
- Grid constraints
- Force majeure events
- Volume risks
- Ensure all contracts meet lender bankability criteria to support the financing of renewable energy projects.
- Facilitate ERC (Energy Regulatory Commission) approval processes where applicable.
2. Commercial Strategy & Portfolio Optimization
- Develop strategies to optimize PPA contract tenors, ensuring alignment with the company’s financing objectives.
- Conduct detailed counterparty credit assessments and establish risk mitigation strategies.
- Maintain an up-to-date commercial risk register and contract summary matrices to inform business decisions.
3. Green Energy Auction Program (GEAP) Participation
Secondary Focus
- Evaluate the strategic value of participating in the DOE’s Green Energy Auctions.
- Support bid preparation by defining pricing strategies that align with financial return expectations.
- Coordinate the preparation and timely submission of GEAP application and bidding documentation.
- Compare the economic benefits of pursuing GEAP versus bilateral PPA opportunities.
Qualifications & Experience
- Bachelor’s degree in Finance, Engineering, Economics, Law, or a related field.
- 6–10 years of experience in the Philippine energy or power market, with a proven track record in renewable energy.
- Demonstrated expertise in negotiating bilateral PPAs with DUs, RES, or corporate clients.
- In-depth understanding of:
- WESM market structures and trends
- ERC approval requirements and processes
- DOE regulatory frameworks and compliance mandates
- GEAP program structures and operational dynamics
- Experience in supporting lender negotiations and financial closure processes is highly preferred.
- Strong analytical and strategic planning capabilities to optimize portfolio performance and manage commercial risks.
- Excellent communication and negotiation skills to foster constructive relationships with diverse stakeholders.
